Terms of Service
The terms and conditions governing the professional business and consulting services provided by Eones Marketing Pty Ltd.
1. Agreement to These Terms
These Terms of Service (“Terms”) govern your access to and use of the website https://eonesmarketing.online and any professional business and consulting services provided by Eones Marketing Pty Ltd (ABN 92 703 361 675) (“we”, “us”, “our”). By engaging our services, submitting an enquiry, or using this website, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Our Services
Eones Marketing Pty Ltd provides professional business and consulting services, including strategic advice, planning support and related consulting engagements. The specific scope, deliverables, timelines and fees for any engagement will be set out in a separate written proposal, service agreement or statement of work agreed between you and us. Where a signed service agreement exists, its terms prevail over these Terms to the extent of any inconsistency.
3. Quotes and Engagement
Quotes provided by us are valid for the period stated in the quote, or 30 days if no period is stated. A quote is an invitation to treat and does not constitute an offer. An engagement commences only when both parties have agreed in writing to the scope and fees. We reserve the right to decline any engagement at our discretion.
4. Fees and Payment
Fees for our services will be as set out in the applicable quote or service agreement. Unless otherwise agreed in writing:
- Invoices are payable within 14 days of the invoice date.
- Late payments may attract interest and reasonable recovery costs.
- Disbursements and third-party costs incurred on your behalf may be passed through at cost or as otherwise agreed.
- All fees are quoted in Australian dollars and are exclusive of GST, which will be added where applicable.
5. Client Responsibilities
You agree to provide timely, accurate and complete information reasonably required for us to perform the services; to respond to requests for input within agreed timeframes; to ensure any information you provide does not infringe the rights of any third party or breach any law; and to use deliverables only for the purposes agreed in the engagement.
6. Intellectual Property
Upon full payment of applicable fees, you receive a licence to use the deliverables prepared specifically for you under the engagement. We retain ownership of our pre-existing methodologies, frameworks, tools and know-how, and of all intellectual property in our website content. Nothing in these Terms transfers ownership of intellectual property except as expressly agreed in writing.
7. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with an engagement, and to use that information only for the purposes of the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By using our website or engaging our services, you consent to the collection, use and disclosure of your information as described in the Privacy Policy.
9. Website Content and Availability
Content on this website is provided for general information purposes only and does not constitute professional advice. We do not warrant that the website will be available uninterrupted or error-free, and we may update, suspend or discontinue any part of the website at any time without notice.
10. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss or damage, loss of profit, loss of revenue, or loss of business opportunity arising from your use of our website or our services. Our total aggregate liability for any claim arising out of or in connection with an engagement is limited to the fees paid by you for the services giving rise to the claim. This clause does not limit any liability that cannot be excluded by law.
11. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on you by the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other applicable law that cannot be excluded, restricted or modified. Our services come with guarantees under the Australian Consumer Law that cannot be excluded.
12. Termination
Either party may terminate an engagement in accordance with the terms of the applicable service agreement, or by giving written notice where no notice period is specified. You remain liable to pay for services performed and costs incurred up to the date of termination. Clauses that by their nature survive termination (including intellectual property, confidentiality and limitation of liability) continue to apply.
13. Force Majeure
We are not liable for any delay or failure to perform our obligations where that delay or failure is caused by an event beyond our reasonable control, including natural disasters, industrial action, government restrictions, or failures of third-party infrastructure.
14. Dispute Resolution
If a dispute arises in connection with these Terms or an engagement, the parties agree to first attempt to resolve the dispute in good faith through direct discussion. If the dispute is not resolved within 30 days, the parties may agree to mediation or another form of alternative dispute resolution before commencing court proceedings, except where urgent relief is required.
15. Governing Law
These Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts of appeal from them.
16. Changes to These Terms
We may update these Terms from time to time. The current version will always be published on this page with the date of the latest revision. Continued use of our website or services after changes are published constitutes acceptance of the updated Terms.
